Terms of Service — Drivers

These Terms of Service ("Terms") form an agreement between you ("Driver," "you") and Adria Software LLC, a New York limited liability company doing business as CDL Match ("CDL Match," "we," "us"), governing your access to and use of the CDL Match platform, website, and services (the "Service"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old, legally authorized to work as a commercial driver in the United States, and able to enter a binding contract. You agree to provide accurate, current, and complete information about yourself, your CDL class, endorsements, and work history, and to keep it up to date. You are responsible for the accuracy of what you submit, and providing false, misleading, or fraudulent information is a material breach of these Terms that may result in suspension or termination of your account.

2. The Service

CDL Match is a two-sided marketplace that connects commercial drivers with motor carriers through matching, a profile you control, a carrier-verified hiring-history record, and tools to communicate with carriers. CDL Match is not an employer, staffing agency, recruiter, or party to any employment relationship you form with a carrier, and does not guarantee any job, interview, offer, rate of pay, or hire. Any employment or contractor relationship is solely between you and the carrier, and you are responsible for evaluating carriers and any opportunity before accepting it. CDL Match does not control, and is not responsible for, the conduct, postings, hiring decisions, or pay practices of any carrier.

3. Your Account

You are responsible for activity on your account and for keeping your credentials secure. You may close your account at any time. We may suspend or terminate accounts that violate these Terms or the Acceptable Use & Ratings Content Policy.

4. Payments & Fees

Drivers do not pay to use CDL Match. Carriers pay for access. You will never be charged a fee to be matched, to appear in search, or to be contacted by a carrier.

5. Driver Bonus Terms

CDL Match may offer a retained-hire bonus to drivers who are hired through the platform and stay with the carrier for a defined retention window. The bonus amount and retention window are set by an effective-dated policy and are captured ("snapshotted") onto your claim when you submit it, so later changes to the program do not alter a claim already submitted. To receive a bonus you must submit truthful documentation, complete the verification authorization, and satisfy the conditions in effect when you submitted. Bonuses are discretionary, paid by CDL Match (not by any carrier), subject to an available budget, and may be changed or discontinued on a going-forward basis. Bonus availability may be limited or unavailable depending on your state of residence. A bonus may be treated as taxable income; where required, CDL Match will issue an IRS Form 1099 or other applicable tax form, and you are responsible for any taxes owed. You should consult your own tax advisor.

6. Verification & Consumer Reports

Some features ask you to submit documents (such as pay stubs, settlement statements, bank records, or FMCSA Clearinghouse records) so we can verify a hire. You will be asked for a separate, explicit authorization before any such submission (see the Driver Verification Consent & Authorization). To the extent the Fair Credit Reporting Act (FCRA) or analogous state laws apply to this activity, we will provide any legally required standalone disclosure, obtain your written authorization before procuring or assembling such information, and honor the rights those laws give you, including notice before any adverse action taken on the basis of a covered report.

7. Your Content

You keep ownership of the profile information and materials you submit, and grant CDL Match a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and use that content as needed to operate and improve the Service (for example, to show your profile to carriers and to compute your verified history). You are responsible for the accuracy of what you submit and represent that you have the right to submit it.

8. Ratings

You may rate carriers after a qualifying, carrier-verified interaction, subject to the Acceptable Use & Ratings Content Policy. Ratings are your subjective opinions, are kept separate from verified hiring history, and must be honest and non-abusive.

9. Prohibited Conduct

You agree not to: provide false or misleading information; impersonate any person; submit forged or altered documents; harass, defraud, or abuse carriers or CDL Match; scrape, reverse engineer, or disrupt the Service; or use the Service for any unlawful purpose. We may remove content and suspend or terminate accounts for violations, and may report unlawful activity to the authorities.

10. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, CDL Match disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, that matches will result in employment, or that information provided by carriers or other users is accurate, complete, or reliable. You are solely responsible for evaluating carriers and any employment decision.

11. Limitation of Liability

To the fullest extent permitted by law, CDL Match and its members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, wages, revenue, data, goodwill, or business opportunity, arising out of or relating to the Service or these Terms, whether based in contract, tort (including negligence), strict liability, or any other theory, even if advised of the possibility of such damages. CDL Match's total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed one hundred U.S. dollars ($100). Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you; nothing in these Terms limits liability that cannot be limited under applicable law (such as for fraud or willful misconduct).

12. Indemnification

You agree to indemnify, defend, and hold harmless CDL Match and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) information or content you submit, including any inaccuracy or misrepresentation; (c) your violation of these Terms or applicable law; or (d) your dealings with any carrier. CDL Match may assume the exclusive defense of any matter subject to indemnification, and you agree to cooperate.

13. Dispute Resolution; Governing Law

Governing law. These Terms, and any dispute arising out of or relating to them or the Service, are governed by the laws of the State of New York, without regard to its conflict-of-laws rules, and by applicable U.S. federal law (including the Federal Arbitration Act).

Informal resolution first. Before starting a formal proceeding, you agree to contact us at legal@cdlmatch.me and give us 30 days to resolve the dispute informally.

Binding arbitration. If we cannot resolve the dispute informally, you and CDL Match agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, before a single arbitrator. The arbitration will take place in the county of your residence or by videoconference, or at another mutually agreed location. The arbitrator may award the same relief a court could, but only in favor of the individual party seeking relief.

Class-action waiver. You and CDL Match agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.

Exceptions. Either party may instead bring an individual claim in small-claims court, and either party may seek injunctive or equitable relief in court to protect intellectual property or confidential information.

Your right to opt out. You may opt out of this arbitration agreement and class-action waiver within 30 days after you first accept these Terms by emailing legal@cdlmatch.me with your name, account email, and a statement that you opt out. Opting out will not affect any other part of these Terms.

Court venue. For any dispute not subject to arbitration, you and CDL Match consent to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York.

14. Termination

You may stop using the Service at any time. We may suspend or terminate access for violations of these Terms or to comply with law. Provisions intended to survive (such as content licenses already exercised, disclaimers, limitations of liability, indemnification, and dispute resolution) survive termination.

15. Changes to These Terms

We may publish new versions of these Terms. When a new version takes effect we will ask you to re-accept, and continued use after that constitutes acceptance. Prior acceptances are retained for our records.
